Togo/La BTCI devient IB Bank Togo : IB Holding s’offre 90% de l’actionnariat contre 10% pour l’État togolais
C’est désormais acté ! la BTCI, banque publique jusque-là détenue à 100% par l’État togolais, entre dans le giron d’IB Holding du magnat des BTP, Mahamadou Bonkoungou.
Décidée en août en conseil des ministres, la cession de l’établissement bancaire devrait recevoir notamment le feu vert de la commission bancaire de l’UEMOA. S’appuyant sur cet aval donné depuis le 20 septembre, le ministère de l’Economie et des Finances a, au travers d’un arrêté en date du 11 novembre, autorisé la modification de l’actionnariat et le changement de dénomination sociale.
En effet IB Holding s’offre 90% de l’actionnariat contre 10% pour l’État togolais. Le montant du deal n’a pas fuité.
Selon l’arrêté, les dirigeants d’IB Holding doivent finaliser au plus tard cette année deux augmentations de capital équivalant à 20 milliards FCFA, ce qui porterait le capital social de la BTCI à 27 milliards FCFA au-dessus des exigences prudentielles.
Autres clauses du deal, Mamadou Bonkoungou doit transférer au plus tard le 30 juin 2022, les participations de sa plus grande filiale IB Burkina à IB Holding, société financière de droit togolais créée le 29 juin dernier et dédiée à la “prise de participation dans les entreprises du secteur bancaire et financier”.
S’il est également exigé d’IB Holding de s’ouvrir à « d’autres investisseurs disposant de capacité financière nécessaire pour accompagner sa stratégie », Mahamadou Bonkoungou s’est en outre engagé à mettre à disposition du groupe, courant 2023, 10 milliards FCFA sous forme de compte d’actionnaire bloqué pour stabiliser la santé financière du groupe.
Alors qu’à fin décembre 2019, la BTCI affichait des fonds propres négatifs (-11 milliards FCFA), Lomé requiert un renforcement des fonds propres de l’établissement d’ici la fin du premier semestre 2022.
Depuis le 11 novembre dernier, la BTCI est devenue International Business Bank Togo, en abrégé (IB bank Togo).
